1. Acceptance

By accessing or using the Vernovi platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

2. Description of service

Vernovi provides a software-as-a-service platform for compliance management, including tools to track cybersecurity controls, integrate with cloud services, manage policies, and generate compliance reports.

3. Eligibility

You must be at least 18 years old and authorized to enter into agreements on behalf of your organization to use the Service.

4. Accounts

You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorized access. We are not liable for losses arising from your failure to safeguard your account.

5. Acceptable use

You agree not to:

• Use the Service to violate any applicable law.
• Attempt to gain unauthorized access to the Service or related systems.
• Resell, sublicense, or redistribute the Service without our written consent.
• Reverse-engineer, decompile, or attempt to extract the source code of the Service.
• Use the Service to send spam, malware, or other harmful content.

6. Customer data

You retain all rights to data you provide or that we collect on your behalf through connected integrations (“Customer Data”). You grant us the limited right to process Customer Data solely to provide the Service.

Our handling of Customer Data is governed by our Privacy Policy.

7. Intellectual property

The Service, including all software, design, and content provided by us, is and remains our property. You retain ownership of Customer Data.

8. Fees and billing

Use of the Service may require payment of fees, as set out in your subscription plan. Fees are non-refundable except as required by law.

9. Termination

You may terminate your account at any time from inside the Service. We may suspend or terminate your account if you breach these Terms, with notice where reasonably possible.

Upon termination, your right to use the Service ends. Customer Data retention upon termination is governed by our Privacy Policy.

10. Disclaimers

The Service is provided as is without warranty of any kind. We do not warrant that the Service will be uninterrupted, error-free, or meet your specific requirements. Vernovi is a compliance management tool — it does not provide legal advice, and we do not warrant that use of the Service will result in compliance with any specific law, regulation, or framework.

11. Limitation of liability

To the maximum extent permitted by law, our total liability under these Terms is limited to the amount you paid us in the 12 months preceding the event giving rise to liability.

12. Changes

We may update these Terms from time to time. Material changes will be communicated by email at least 14 days before they take effect.

13. Governing law

These Terms are governed by the laws of the United Kingdom, without regard to conflict-of-law principles.
